Six Lex Mundi Member Firms Work Together to Assist Largest Belgium Telecom Company in Acquisition Across Multiple Borders

Proximus, the largest mobile telecommunications company in Belgium, wanted to acquire the Codit Group, a European IT company providing cloud-based solutions, consultancy, technology and managed services.

The client contacted Liedekerke Wolters Waelbroeck Kirkpatrick (Liedekerke), the Lex Mundi member firm for Belgium, for assistance with the complex transaction.

Acting as the lead firm, Liedekerke tapped into the Lex Mundi network to quickly organize a cross-border team including:

The acquisition required beginning-to-end assistance. Liedekerke led the due diligence process, drafting and negotiating all transaction documents and coordinating the complex exits of the minority shareholders in the different local subsidiaries.

The team worked closely together in providing counsel and critical and timely legal advice. Each member firm addressed the due diligence process and advised on local issues relating to the transactional documents along with several aspects related to the exits of the minority shareholders and in the corporate governance of the subsidiaries. Serving as the main point of contact, Liedekerke was able to provide the client with one integrated due diligence report and coordinated billing through one point of contact.

Bringing together the deep knowledge from each Lex Mundi member firm at competitive pricing added great value to the client and provided a truly seamless client solution.
