Recent litigation highlights:
• Recovered $120 million for Olin Corporation during a federal jury trial in a high-stakes environmental insurance and contribution case involving more than a dozen manufacturing and disposal sites
• Secured a victory for Northwestern University with the dismissal of a putative class action claiming breaches of fiduciary duty and prohibited transactions related to allegedly excessive administration and investment management fees paid to service providers
• Secured a victory when a judge dismissed a lawsuit claiming that Morningstar and two subsidiaries of Prudential Financial purposely used a robo-adviser to steer investors toward more expensive funds that paid fees and kickbacks to Prudential
• Secured a victory for the Estate of novelist John Steinbeck’s widow, Elaine Steinbeck, when the court dismissed all remaining claims in a longstanding dispute between Ms. Steinbeck and the author’s biological heirs
• In the preceding three terms, the firm has argued 14 cases in the US Supreme Court prevailing in 13 of them; in the 2018 term, the firm argued three more, winning one so far
• Advised the board of United Airlines throughout an investigation and negotiations regarding the accusations that centered on a flight path between Newark, NJ and Columbia, SC; the matter was resolved with a nonprosecution agreement
• Secured a $940 million trade secrets jury verdict for client Epic Systems against Tata Consultancy in what is believed to be the largest verdict of any kind in Wisconsin and one of the largest trade secret verdicts in US history
• A victory before the US Patent Trial and Appeal Board in The Broad Institute, et al. v. The Regents of the University of California, et al., a highly watched case regarding who owns the patent for a groundbreaking gene-editing technology called CRISPR

Transactional:
Jenner & Block’s sophisticated transactional department is equally committed to excellence. The Corporate Practice is oriented around mergers and acquisitions, including joint ventures, capital markets and securities, corporate finance and corporate governance matters. It covers an array of complex transactions and counseling for a range of clients, ranging from large public companies to middle market and emerging companies and closely held or family owned businesses to private equity and other investors. With nearly 100 lawyers in four offices, the transactional practice provides sophisticated advice on subject matters such as tax, bankruptcy and restructuring, IP transactions, employee benefits, real estate, environmental, antitrust and private wealth. The firm’s corporate lawyers work closely with lawyers from its regulatory and other transactional groups to provide comprehensive and integrated transaction structuring and execution. The practice is committed to deploying only the best and brightest lawyers, bringing innovation through technology, staffing solutions, deal execution and cost-containment processes.

Recent transactions include:
• Represented Diamond Castle Partners on $2.5 billion acquisition of Multi-Color Corp. by Platinum Equity
• Represented General Dynamics in its $9.7 billion acquisition of CSRA and in multiple billion-dollar debt offerings and numerous M&A transactions
• Represented General Motors in a $1.6 billion underwritten secondary offering of common stock by the UAW Retiree Medical Benefits Trust (VEBA)
• Represented Swiss-based Lonza Group AG in the $630 million sale of its Watercare business to Platinum Equity; acquisition of a controlling stake in Octane Biotech; $5.5 billion acquisition of Capsugel; and the subsequent placement of 5 million new shares, raising gross proceeds of CHF 865 million
• Represented Snyder’s-Lance in its $4.9 billion sale to Campbell Soup Company
• Represented US Foods Holding Corp. in its $1.175 billion initial public offering
• Represented Stanley Black & Decker in the divestiture of its subsidiary Sargent and Greanleaf to Opengate Capital
• Represented NES Rentals in its $965 million sale to United Rentals
• Represented Hertz Global Holdings, in the separation of Hertz’s equipment rental business Herc Holdings

Public Service:
Over the past 28 years, Jenner & Block has devoted nearly 1.6 million hours to pro bono matters. The firm’s efforts have been recognized by The American Lawyer, which has ranked the firm as having the number one pro bono program in the country nine times and among the top ten programs in the country every year since 1990. In 2018, the firm’s lawyers provided 83,190 hours of pro bono service, with 100% of its lawyers contributing 20 or more hours to pro bono matters throughout the year.
