With respect to private M&A, what are three things on top of mind for M&A practitioners in your jurisdiction?

Three things top of mind for private M&A practitioners in the Netherlands are: 

  • General: economic environment
  • General: political environment
  • Regulatory: national security and foreign investment restrictions

The world is still in significant turmoil, and that does not look like it will end soon. Combined with that, the general expectation seems to be that a downturn is on its way - although it is hard to say how bad that will be. In general, the economy in the Netherlands has softened a bit and may technically be in a recession but for M&A lawyers the expectation is that it will be a very busy year indeed.

With respect to private M&A, where does your jurisdiction see most deal activity?

Most private M&A deal activity is categorized as mid-market. 

With respect to private M&A, what sector sees the most deal activity in your jurisdiction?

Most private M&A deal activity is seen in the Technology, Media and Telecommunications sector. 

What are your predictions for private M&A deal volume in your jurisdiction during 2024?

Private M&A deal volume in 2024 is predicted to be greater than 2023 deal activity, in private M&A, the top-tier work was slow in 2023. And even if the mid-market was not bad, it was significantly slower than in 2022 - and most people seem to be expecting a strong rebound into 2024.

With respect to public M&A, what are three things on top of mind for M&A practitioners in your jurisdiction?

The stock market seems to be fairly bullish still, and a fair bit of activity is expected in public M&A as well. But the bulk tends to be private work, of course.

Most public M&A deal activity is categorized as mid-market. 

With respect to public M&A, what sector sees the most deal activity in your jurisdiction?

Most public M&A deal activity is seen in the Technology, Media and Telecommunications sector. 

What are your predictions for public M&A deal volume in your jurisdiction during 2024?

Public M&A deal volume in 2024 is predicted to be the same as 2023 deal activity, it's a much smaller market than the private sector of course, but mega-transactions were a bit slow in 2023 and are not expected to rebound too much in 2024.

Please share any other insights with respect to M&A in your jurisdiction:

For our firm, 2023 was as strong a year as 2022 was, even though the overall M&A market did slow down this year. We're expecting 2024 to be busier still - with a lot more overall M&A activity compared to 2023.
